Rowpar Pharmaceuticals Acquired by Arcadia Consumer Healthcare

Scottsdale, AZ – June 24, 2022; City Capital Advisors, a results-oriented investment banking firm serving the middle market, announced today that it has advised Rowpar Pharmaceuticals, Inc., developer and marketer of the ClōSYS® branded product line of oral care products, in a sale of the Company to Arcadia Consumer Healthcare, an entity controlled by the New York City based private investment fund Bansk. City Capital Advisors was hired as the exclusive financial advisor to Rowpar Pharmaceuticals in order to assist with a transaction involving the sale of all of the common stock held by Rowpar’s shareholders via a reverse-triangular merger.

Transaction Summary
City Capital assisted Rowpar’s Board of Directors in evaluating the possible sale of the Company in order to maximize shareholder value as well as to seek a buyer with greater resources for helping the ClōSYS® brand to expand its market share. After running a market-clearing process to identify such a buyer, City Capital provided Rowpar’s Board of Directors with multiple proposals from interested parties. The proposal most preferred by Rowpar’s Board was from Arcadia Consumer Healthcare, a consumer personal care products company seeking entry into the oral care product sector. In response to the transaction, Rowpar’s CEO Jim Ratcliff commented “Dick King, Mark Timmerman, and the entire City Capital team identified the right opportunity for our shareholders as well as the right strategic partner in Arcadia to help the business reach its full potential”.
