InControl Medical Secures an $8 Million Private Placement

CHICAGO, IL – October 31, 2013; City Capital Advisors, a results-oriented investment banking firm serving the middle market, announced today that it advised InControl Medical, LLC a Brookfield, Wisconsin based healthcare products company. City Capital Advisors was hired as the exclusive financial advisor to InControl Medical, a firm founded in 2010 and managed by Mr. Herschel Peddicord, an industry veteran with a very successful track record in the healthcare industry.

InControl designs, manufactures and sells a line of healthcare devices used to treat female health problems ranging from incontinence to sexual dysfunction. The Company’s lead product, InTone, is an FDA listed device sold primarily to gynecologists and urologists through their own sales force. InTone works to eliminate incontinence issues for women without their having to undergo the vaginal mesh implantation surgery which is expensive and the driver of several class-action lawsuits stemming from risks associated with such procedures. By most studies, incontinence is thought to be an issue for approximately 40 million women in the U.S. alone. The Company’s products are protected by patents and trademarks in the United States and several other countries.

Transaction Summary

City Capital assisted InControl’s management team by advising on the Company’s capital requirements for sustaining its growth. The investment was structured using a convertible note with a mandatory conversion feature available to the Company under certain conditions. The private capital raised will be used to accelerate the company’s growth trajectory by building out its sales force; investing in advertising, public relations and strategic sales and marketing initiatives; and expanding its product line to address additional medical conditions with large addressable markets. This private placement was oversubscribed and brings the total amount of invested capital in the Company to in excess of $19,000,000. The Company was also advised by its legal counsel at Foley & Lardner.
